Terms and conditions for our manpower supply services

1. Introduction
These Terms of Service ("Terms") govern the provision of manpower supply and workforce management services by Acquire Labour & HR Solutions Pvt. Ltd. ("Company," "we," "us," or "our") to clients ("Client," "you," or "your"). By engaging our services, you agree to be bound by these Terms.
We are a Government of India Ministry of Labour approved manpower supplier, registered under the Contract Labour (Regulation & Abolition) Act, 1970, and fully compliant with all applicable labour laws and regulations.
2. Services Provided
We provide the following services:
- Supply of skilled, semi-skilled, and unskilled workforce
- Contract labour supply for short-term and long-term projects
- Workforce management including attendance tracking and supervision
- Payroll processing and salary disbursement
- Statutory compliance including PF, ESI, Labour Welfare Fund, and other applicable laws
- Background verification and screening of workforce
- Replacement of absent or non-performing workers
- Daily reporting and performance monitoring
3. Terms and Conditions of Service
3.1 Wages and Compensation
- Wages shall be paid as per Minimum Wages Act plus Dearness Allowance (DA) as applicable
- Wage bills will be raised on the 3rd of every month
- Payments to workers will be disbursed by the 7th of every month
- Overtime payments will be calculated as per applicable labour laws
3.2 Statutory Compliance
- Provident Fund (PF): 13% on total wages as per EPF Act
- Employee State Insurance (ESIC): 4.00% on total wages plus overtime
- Bonus: 8.33% on total wages as per Payment of Bonus Act
- Earned Leave/Casual Leave: 7.12% on total wages
- Labour Welfare Fund (LWF): Applicable charges as per state regulations
- GST: 18% as per Central Government norms (if applicable)
- All other applicable taxes and statutory deductions as per government regulations
3.3 Service Charges
- Service charges are applicable on total wages as mutually agreed
- Service charges are negotiable and can be adjusted as per mutual agreement and prevailing conditions
- One supervisor will be provided at skilled minimum wages Act rates
3.4 Payment Terms
- Payment should be released within 5 working days after submission of the bill
- Delayed payments may attract interest charges as per mutual agreement
- All payments should be made through bank transfer or cheque
- Tax invoices will be provided for all services rendered
3.5 Workforce Categories
- Unskilled: General labourers and helpers
- Semi-Skilled: Workers with basic training and experience
- Skilled: Trained technicians, operators, and specialists
- High-Skilled: Advanced professionals and experts
- Additional charges may apply for specialized roles (e.g., Sweeper/Toiletry: extra charges on unskilled labour wages)
- Travelling allowances: Applicable for remote areas as mutually agreed
4. Client Obligations
- Provide safe working conditions and necessary facilities for the workforce
- Comply with all applicable health and safety regulations
- Provide accurate attendance records and work requirements
- Make timely payments as per agreed payment terms
- Inform us immediately of any issues or concerns regarding the workforce
- Not directly employ or poach workers supplied by us without prior written consent
- Comply with all terms of the service agreement
5. Our Obligations
- Provide qualified, verified, and compliant workforce as per requirements
- Ensure 100% compliance with all statutory requirements (CLRA, PF, ESI, etc.)
- Process payroll and disburse salaries on time
- Maintain proper documentation and records
- Provide replacements for absent or non-performing workers
- Submit daily reports and performance updates
- Handle all statutory compliances and filings
- Maintain confidentiality of client information
6. Contract Duration and Termination
- The service agreement shall be valid for the period specified in the contract
- Either party may terminate the agreement with 30 days written notice
- Immediate termination may occur in case of breach of terms or non-payment
- Upon termination, all outstanding payments must be settled within 15 days
- We reserve the right to withdraw workforce in case of non-payment or breach of agreement
7. Liability and Indemnification
- We shall not be liable for any indirect, incidental, or consequential damages
- Our liability is limited to the service charges received for the specific period
- Client shall indemnify us against any claims arising from client's operations or workplace conditions
- We maintain appropriate insurance coverage for our operations
- Any disputes shall be resolved through mutual discussion or as per dispute resolution clause
8. Confidentiality
Both parties agree to maintain confidentiality of all business information, workforce details, and proprietary information shared during the course of service provision. This obligation shall continue even after termination of the agreement.
9. Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to natural disasters, government actions, strikes, pandemics, or other force majeure events. Affected party shall notify the other party promptly and make reasonable efforts to resume performance.
10. Dispute Resolution
- Any disputes shall first be resolved through mutual discussion and negotiation
- If unresolved, disputes shall be referred to arbitration as per Arbitration and Conciliation Act
- The place of arbitration shall be Indore, Madhya Pradesh
- Arbitration proceedings shall be conducted in English
- Courts in Indore shall have exclusive jurisdiction over any legal proceedings
11. Governing Law
These Terms shall be governed by and construed in accordance with the laws of India. Any legal proceedings shall be subject to the exclusive jurisdiction of courts in Indore, Madhya Pradesh.
12. Modifications to Terms
We reserve the right to modify these Terms at any time. Material changes will be communicated to clients in writing. Continued use of our services after such modifications constitutes acceptance of the updated Terms.
